Terms of business

To establish the best possible basis for our customer collaboration, we hereby inform you of the general terms and business conditions that Resonans A/S operates under in connection with the execution of consulting assignments.

Resonans provides consulting services as outlined in the written proposal and assignment agreement. In the assignment agreement, all elements of the task as well as the schedule are clearly and specifically formulated. If there is any doubt about the overall assumptions, purpose, and/or execution of the task along the way, the customer's task manager will be notified immediately.

Agreements

Proposals sent via email are considered written proposals and are binding for Resonans. An electronic confirmation from the customer via email on a given proposal issued by Resonans is considered a written order.

Cancellation of consulting services

Assignments can be rescheduled/cancelled under the following conditions:

• 8 days before delivery, 100% will be invoiced
• 14 days before delivery, 80% will be invoiced
• 3 weeks before delivery, 60% will be invoiced
• 1 month before delivery, 40% will be invoiced

• Over 1 month before delivery, 20% will be invoiced

Fees, expenses and payment terms

Minor services (typically 1-2 days) are invoiced after completion. Long-term projects: 50% is invoiced upon signing the contract. The remaining amount is typically divided, with an additional 25% invoiced at a project milestone, and 25% upon completion. All prices are exclusive of VAT and any other taxes. Any other costs and materials are invoiced according to agreement with the customer.

Travel expenses and any other direct expenses are invoiced based on receipts. Payment is due 14 days from the invoice date. In case of late payment, reminder fees and interest charges will be applied.

Transportation and accommodation expenses

Costs for travel by own car are settled based on the state's rate. Hotel stays, bridge and parking fees, as well as meals, are invoiced based on receipts.

Working hours

A consulting day corresponds to 7 hours. Tasks are performed Monday to Friday from 08.00 to 17.00. If the customer requests tasks to be carried out outside of these hours, a supplement is informed and calculated at the agreed price.

Personal Data and Confidentiality

Sensitive information is treated confidentially and Resonance does not disclose information without prior agreement. If special circumstances warrant it, Resonans and the customer may enter into a confidentiality agreement (non-disclosure agreement). The customer is aware and agrees that Resonans may perform tasks and deliveries for other customers within the same segment and industry.

Resonans has established a professional advisor's liability insurance through Topdanmark

Rights

For material (defined as, documents, spreadsheets, video, photos, illustrations) prepared specifically for the customer, the customer obtains a non-transferable and non-exclusive right of use. The material may not be copied or modified without prior agreement. Resonans retains the copyright and intellectual property rights to the results of both consulting services and development tasks unless a special agreement has been made to regulate these rights. For material originating from third parties, the customer must respect the rights holder's provisions.

References

Unless otherwise agreed, both parties may include each other on their reference lists. If one party or delivery is mentioned, it must be done in accordance with the provisions of the Marketing Act and without disclosing confidential information.
